September 19, 2013 – Brixton Metals Corporation (TSXV: BBB) (the “Company” or “Brixton”) announces a non-brokered private placement financing for total gross proceeds of up to approximately $700,000 (the “Private Placement”). The Private Placement provides for the issuance of any combination of units of the Company (the “Units”) at a price of $0.10 per Unit and/or flow through shares (the “FT Shares”) at a price of $0.10 per FT Share. Each Unit will consist of one common share and one transferable common share purchase warrant (“Warrant”) with each Warrant exercisable by the holder into one common share of the Company at a price of $0.15 per share for a period of 24 months from the closing date.
All securities issued pursuant to this Private Placement will be subject to a four month and one day hold period. The Private Placement is subject to a number of closing conditions, including, without limitation, receipt of all regulatory approvals.
The closing date for the Private Placement is scheduled to occur on or about October 4th , 2013. The proceeds from the Private Placement will be used to fund exploration activities for 2013 at the Company’s Thorn property. The Company may pay a finders’ fee in respect of certain subscribers in accordance with the policies of the TSX Venture Exchange (the “TSX-V”).
